Estimate / Invoice Terms & Conditions:
(FVSG = Farmington Valley Stump Grinding and Land Services LLC)
Payment Terms:
A 20% deposit is due upon acceptance of the estimate to secure scheduling. The remaining balance is due immediately upon completion of the work. Any unpaid balance after 30 days will accrue a $25 late fee and interest at 1.5% per month. Customer agrees to pay all costs related to collection and/or the enforcement of this agreement, including (without limitation) attorney’s fees and court costs. FVSGs reserves the right to file a mechanic’s lien where permitted by law.
Any disputes to the invoice or any of the work must be in writing and delivered to FVSG within FIVE (5) days after completion of the work. Failure of customer to dispute the invoice and/or the work within this time period shall constitute acceptance of the work and the invoice as accurate and binding.
No discount, offset or withholding of payment by customer shall be permitted on account of defects or deficiencies unless and until such defects or deficiencies are finally determined.
Property & Site Conditions:
The customer shall clearly identify the stump(s) to be ground and ensure sufficient access to the area(s). All pets, personal property and moveable obstacles must be removed from the work areas prior to the start of any work. FVSG is not responsible for damage to items left in the areas of the work and FVSG’s equipment. If FVSG’s access is materially hindered or delayed by conditions under customer’s control, FVSG may charge reasonable additional fees for wait time, remobilization or additional effort to access the work area.
FVSG cannot guarantee that underground utilities and sensitive areas on the property will not be damaged. The customer is responsible for marking all private utilities, sprinkler systems, invisible dog fences, drainage lines, and other underground structures prior to the start of work. FVSG is not responsible for damage to unmarked utilities or concealed items. FVSG will contact 811 prior to starting work to have all public utilities marked.
Unexpected Conditions; Change Order:
If FVSG encounters unexpected subsurface conditions that materially increase the time, cost, effort or risk of performing the work, FVSG shall promptly notify the customer. FVSG may suspend work until the parties agree in writing to a change order that addresses the additional work, time and costs required to complete the work. If the parties cannot agree on the change order, FVSG may decline to perform further work without being in breach of this agreement. FVSG shall be entitled to payment for all work performed up to the date of suspension.
Grinding Depth; Work Standard:
Unless otherwise expressly stated, FVSG shall grind each identified stump to a depth of approximately 3 to 4 inches below the surrounding grade, to the extent reasonably practicable given site conditions, equipment limitations, and safety considerations. If customer requires a greater grinding depth, it must be specified and agreed to in writing by both parties. The greater depth may result in additional charges.
FVSG shall perform the work in a professional and workmanlike manner, consistent with generally accepted practices in the industry. Customer acknowledges and agrees that: (i) complete removal of all roots is not typically feasible and is not included unless expressly specified in writing; (ii) subsurface obstacles (e.g. rocks, buried concrete, old stump material) may limit the practicable grinding depth; and (iii) minor surface depressions, residual wood chips and disturbance to adjacent soil are normal and expected consequences of stump grinding.
Damage Disclaimer
While efforts are made to protect customer’s property, FVSG is not liable for damage to turf, lawn conditions, decorative or movable items, driveways not rated for equipment, or previously compromised surfaces due to normal equipment operation.
Customer acknowledges that some incidental scuffing, scraping or disturbance of nearby turf, mulch or landscape materials may occur, and that such incidental disturbance does not constitute damage or defective performance.
Underground & Concealed Items
FVSG is not responsible for damage to underground utilities that are unmarked or not properly marked, hidden debris, metal, concrete, or foreign materials beneath the stump. Additional charges may apply if these conditions are encountered.
Schedule:
FVSG shall use commercially reasonable efforts to commence the work, subject to weather and ground conditions, availability of equipment and personnel, access and site conditions, and any changes to the scope of work. Any schedule or completion date provided is an estimate only and is not a guarantee of completion by a particular date. FVSG shall notify customer upon completion of the work.
Exclusion from Work:
Unless expressly agreed to in writing, the following are excluded from the work provided by FVSG: (i) removal of stump grindings, wood chips, soil or other debris from the property; (ii) importation and installation of topsoil, sod, seed, plants, trees or other landscaping materials; (iii) repair or restoration of irrigation systems, drainage systems, or utilities; (iv) removal or pruning of trees, brush clearing or other tree services; (v) excavation beyond stump grinding (e.g. trenching or grading for construction); and (vi) any engineering, surveying, landscaping or design services.
Dispute Resolution:
Parties agree to make good faith efforts to resolve any disputes related to this agreement or the work provided to customer by FVSG. If the parties are unable to resolve any dispute, then either party may pursue any remedy available at law or in equity. This agreement, and any dispute related to this agreement, shall be governed and construed in accordance with the laws of the State of Connecticut, without giving effect to any choice or conflict of law rule. Customer hereby consents to the personal jurisdiction and venue of the state and federal courts located in Hartford County, State of Connecticut.
Acceptance of this estimate constitutes agreement to the terms listed above.
